Terms and Conditions

Services Provided by Blue Fox

Version: 2026-09-26_20:30:00 ET

Scope and Acceptance of the Terms

These Terms and Conditions (hereinafter the “Agreement”) govern the use of the services offered by Les services de consultation Blue Fox Inc. (hereinafter “Blue Fox”). By subscribing to or using the services of Blue Fox, the Client (natural or legal person) accepts without reservation all of the terms of this Agreement. This Agreement is intended to protect Blue Fox and to clarify the responsibilities of each party in order to manage client expectations in accordance with the Quebec legal framework. The Client represents that it has the power and capacity to accept these terms and acknowledges having read them in their entirety.

Description of the Services

Blue Fox is a technology services provider offering cloud hosting and online application solutions. Our services include, in particular:

  • Hosting of data and open-source software – Hosting of platforms such as Nextcloud (and its associated modules), Vaultwarden (password manager), LimeSurvey (online surveys), Odoo and DocuSeal, as well as hosting of certain of the Client’s websites.
  • Secure cloud infrastructure – Provision of server space (dedicated or shared) allowing the Client to store, share and manage its data and applications. Blue Fox provides the computing power, security equipment and software necessary for the proper operation of the service.
  • Services for SMEs and individuals – Blue Fox services are designed to meet the needs of small and medium-sized businesses as well as individuals. Although Blue Fox is established in Quebec, the services may also be offered to clients in other Canadian provinces (with the required adaptations), while generally remaining subject to the laws applicable in Quebec.
  • Complementary services – Blue Fox may also offer related services such as domain name registration, basic software configuration, or technical advice, as the case may be. These additional services will be subject to these same terms, unless otherwise stipulated in a specific agreement.

Note: The Client acknowledges having verified that the Blue Fox services meet its needs and having received from Blue Fox all the information necessary to subscribe with full knowledge of the facts.

Service Level, Availability and Uptime (SLA)

Blue Fox undertakes to use all reasonable means to ensure the quality, permanence and continuity of the hosting services provided, in accordance with industry practice and best practices. This means that Blue Fox assumes an obligation of means and not an obligation of result. In practice:

  • Service availability: Blue Fox will endeavour to provide uninterrupted access to the services (24 hours a day, 7 days a week) and aims for a high availability rate (such as 99% monthly uptime). However, due to the nature of the Internet and of infrastructure, Blue Fox cannot guarantee absolute availability. The Client understands that bandwidth fluctuations, network outages or other technical contingencies beyond the control of Blue Fox may cause temporary service interruptions.
  • Maintenance and planned interruptions: Blue Fox reserves the right to temporarily interrupt the services to carry out technical work, updates or maintenance intended to improve the operation of the platforms. To the extent possible, Blue Fox will inform the Client in advance of the nature and duration of a planned interruption, so that the Client can make arrangements. Such maintenance will preferably be performed outside peak hours.
  • SLA and remedies in the event of an outage: If Blue Fox does not meet the agreed service level (e.g. availability below an announced threshold), the Client may be entitled to remedies defined in a specific service level agreement (SLA) (for example, a credit on the monthly invoice for downtime beyond the threshold). Unless otherwise provided in an SLA signed with the Client, Blue Fox is bound only by an obligation of reasonable means and does not guarantee the immediate repair of any incident. Blue Fox nevertheless undertakes to act promptly in the event of an unforeseen technical incident in order to restore the services as soon as possible.
  • Force majeure: No failure to meet the availability commitment may be held against Blue Fox in the event of force majeure or any event beyond its reasonable control (global network outages, natural disasters, conflicts, major cyberattacks, war, etc.). Such events may justify a temporary suspension of Blue Fox’s obligations, without giving rise to any compensation.

Blue Fox reiterates that, with respect to service availability and performance, it is bound only by an obligation of means and not by an absolute obligation of result. The Client accepts this limitation and understands that Blue Fox applies diligence and skill to provide a quality service, without however being able to promise the total absence of interruption or failure.

Technical Support and Maintenance

Blue Fox offers its clients a technical support (troubleshooting) service to assist the Client in the event of difficulty with the hosted services. Technical support is available through the indicated channels (e.g. email or web support portal) during normal business hours or according to the service agreement. The terms of support are as follows:

  • Scope of assistance: Blue Fox’s technical assistance covers problems related to the hosting infrastructure, the servers, network connectivity and the general proper operation of the applications provided in their standard environment. Blue Fox will diagnose incidents reported by the Client in order to determine their cause and will propose solutions or fixes where the incident falls within its responsibility (e.g. server failure). If the incident results from a problem internal to the application used or from misuse by the Client, Blue Fox will direct the Client toward possible solutions but may consider that the incident is not covered by its standard support.
  • Limits of assistance: Technical assistance does not include advanced application support or in-depth debugging of third-party software installed for the Client. For example, Blue Fox is not required to intervene in the code or internal configuration of Nextcloud, of additional modules, of LimeSurvey forms or of third-party plug-ins that the Client may have added, unless a specific managed services offering has been agreed upon. Likewise, Blue Fox does not provide support for programming, development or the correction of errors specific to the Client’s web applications hosted on our servers (unless otherwise arranged). Assistance is limited to ensuring that the hosting infrastructure is working properly and that the application is accessible.
  • Client’s duty to cooperate: The Client must cooperate in good faith with Blue Fox support by providing all relevant information about the problem encountered, describing the error messages and the operations performed, and allowing Blue Fox temporary administrator access to the application if necessary for investigation (e.g. providing Nextcloud or Vaultwarden administrator access if requested, while changing the passwords afterwards). The Client undertakes not to abuse Blue Fox’s technical support: excessively frequent, unjustified or out-of-scope requests may be refused or invoiced if they disrupt the normal operation of the support service.
  • Updates and preventive maintenance: Blue Fox may periodically deploy security updates or patches on the hosted servers or applications (e.g. Nextcloud updates, Odoo security patches, etc.) in order to ensure the security and stability of the services. Blue Fox will attempt to schedule these operations so as to minimize the impact on availability. The Client is responsible for applying or testing, where applicable, updates specific to its own additional modules or customizations, unless a managed services agreement relieves it of this responsibility.
  • Backups: Unless otherwise indicated, Blue Fox performs basic backups of the hosted data and files for the sole purpose of enabling recovery in the event of a major incident. These internal Blue Fox backups do not constitute an absolute guarantee of restoration of the Client’s data. It is the Client’s responsibility to maintain its own backup copies of its important data. Blue Fox cannot be held liable for any loss of data if the Client has not taken the necessary backup measures on its side.

In summary, Blue Fox provides diligent and professional support for the aspects it controls (server infrastructure, network access, basic proper operation of the hosted applications). The Client remains responsible for the day-to-day functional administration of its applications and data. Blue Fox is bound only by an obligation of means in the support it provides and does not guarantee to resolve every problem outside its scope. Any additional work (e.g. assistance with application use, training, specific development) may be the subject of a separate agreement and separate invoicing.

Obligations and Responsibilities of the Client

The Client undertakes to use the Blue Fox services in a responsible manner and in compliance with the laws in force. This section describes the Client’s main obligations:

  • Lawful and acceptable use: The Client must use the hosting services for lawful purposes only. It is prohibited from hosting, transmitting or storing on Blue Fox’s servers any content that is unlawful, defamatory, hateful, obscene or that infringes the rights of third parties. Prohibited content includes, in particular, sites or data of a racist or discriminatory nature, or inciting violence or illegal activities, as well as any content infringing intellectual property rights (e.g. infringement of copyrights, registered trademarks, etc.). The Client is also required to respect the rules of “netiquette” and not to use Blue Fox’s services for sending spam, phishing, or any other form of network abuse.
  • Responsibility for content and data: The Client is solely responsible for the information, data, files and content it stores or disseminates through the Blue Fox services. Blue Fox exercises no editorial control over the Client’s content and cannot be held liable for such content. The Client represents that it holds all necessary rights (intellectual property, required consents, etc.) to all the data it hosts on our servers. Accordingly, the Client agrees to assume any third-party claim related to its content and holds Blue Fox harmless against any recourse that may arise therefrom. In the event of a manifest violation by the Client of the law or of these obligations (e.g. hosting illegal content, activity harmful to the servers or to third parties, etc.), Blue Fox reserves the right to suspend without delay the Client’s services and/or to terminate the Agreement, after informing the Client where possible. Such suspension or termination may occur without prejudice to Blue Fox’s right to claim damages for any injury suffered, as the case may be.
  • Access security: The Client is responsible for the confidentiality of the credentials (usernames, passwords, API keys, etc.) that allow it to access its hosted services. It undertakes to take all necessary measures to protect its credentials and to inform Blue Fox immediately in the event of suspected compromise. Any action carried out using the Client’s credentials is presumed to have been performed by the Client or with its authorization. Blue Fox cannot be held liable for the consequences of any unlawful or unauthorized use of the Client’s credentials (unauthorized access, modification or theft of data) resulting from the Client’s fault or negligence in protecting them.
  • Compliance with service limits: The Client must ensure that it does not use the hosting resources beyond the limits agreed upon in its service plan (storage space, bandwidth, number of users or sites, etc.). In the event of overuse or abusive use (e.g. abnormal load affecting server stability), Blue Fox may offer the Client an upgrade to a higher plan or, if the situation endangers the infrastructure, temporarily restrict the allocated resources in order to preserve the quality of service for all clients. Blue Fox will inform the Client and will seek an amicable solution to meet its actual needs (adjustment of the pricing plan, optimization, etc.).
  • Compliance with data and privacy laws: If the Client collects, processes or stores personal information of third parties (e.g. information about its own clients, employees or end users) using the Blue Fox services, it is the Client’s responsibility to comply with the applicable data protection laws (e.g. Quebec’s Law 25 (An Act to modernize legislative provisions as regards the protection of personal information), or federal/provincial laws applicable in other jurisdictions). In particular, the Client must ensure that it has the right to process such information (e.g. by obtaining the required consents from the persons concerned) and that it uses the features of the Blue Fox services in a manner that protects the confidentiality of the data (e.g. correct configuration of Nextcloud shares, choice of secure passwords in Vaultwarden, etc.). Blue Fox acts as the Client’s service provider for the hosting of such data and, in that capacity, will not use the personal information of the Client or its users for any purpose other than providing the service (see the Confidentiality and Data Protection section below). The Client remains the owner of the data it hosts and is responsible toward the persons concerned for the lawfulness of the processing carried out.

In summary, the Client must use the Blue Fox services in a compliant and diligent manner, assuming full responsibility for its content and actions. Failure by the Client to comply with these obligations may result in contractual consequences (suspension or termination) and legal consequences (legal proceedings, indemnification of third parties). The Client holds Blue Fox harmless against any injury suffered as a result of wrongful or illegal use of the services by the Client.

Security, Confidentiality and Data Protection (Law 25)

Blue Fox attaches paramount importance to the security of data and to the protection of the personal information entrusted to it by the Client. In accordance with the Quebec regulatory framework (in particular Law 25 – An Act to modernize legislative provisions as regards the protection of personal information), Blue Fox has put in place contractual and technical measures to ensure the confidentiality and integrity of the hosted data. Blue Fox’s commitments with respect to data protection are as follows:

  • Technical and organizational security measures: Blue Fox undertakes to take appropriate security measures to protect the Client’s personal information and data against any unauthorized access, theft, loss or improper disclosure. These measures include, without limitation, encryption of communications (e.g. SSL/TLS protocols for access to the services), firewalls and perimeter protection systems, internal backup mechanisms, and strict access controls to the infrastructure. Blue Fox applies the principle of data protection by design and by default by limiting collection and retention to only the information that is necessary and by ensuring a high level of protection by default.
  • Confidentiality of information: Blue Fox contractually undertakes to keep the Client’s information and data confidential. Blue Fox personnel access the Client’s data only to the extent necessary to perform the services (for example, to resolve a technical problem at the Client’s request), and undertake never to disclose such information to third parties without authorization. Blue Fox will use the Client’s personal information only for the specific purposes for which it was collected or to provide the requested services, in accordance with the Client’s instructions. Furthermore, Blue Fox will not retain the Client’s personal information beyond the term of the contract: upon termination or expiry of the service, Blue Fox will return or destroy the hosted data, unless a legal retention obligation provides otherwise.
  • Notification of security incidents: In accordance with Law 25, in the event of a confidentiality incident (e.g. unauthorized access, data leak) involving the hosted personal information and likely to present a risk of serious injury to the persons concerned, Blue Fox will notify without delay the Client’s person in charge of the protection of personal information (see below) of any breach or attempted breach of the agreed confidentiality measures. Blue Fox will cooperate with the Client to provide it with any information necessary so that the Client may, where applicable, fulfill its legal obligations to notify the authorities (e.g. the Commission d’accès Ă  l’information du QuĂ©bec) and the affected individuals. In addition, Blue Fox will keep an internal register of incidents in accordance with regulatory requirements.
  • Data location and transfers outside Quebec: By default, Blue Fox hosts the Client’s data on servers located in Canada (favouring Quebec territory where possible). Should Blue Fox transfer or host certain data outside Quebec, it undertakes to comply with section 17 of the Act respecting the protection of personal information in the private sector, that is, to conduct a privacy impact assessment (PIA) prior to the transfer and to ensure that the transferred information receives a level of protection equivalent or superior to that required in Quebec. In particular, Blue Fox will obtain appropriate contractual safeguards from any third-party provider abroad, in order to ensure the confidentiality of the information, to limit its use to the agreed purposes, to have it destroyed after the mandate, and to allow audits as needed. The Client will be informed of the countries where its data may be located, and Blue Fox will obtain its consent where required, in particular if different protection principles apply in the destination jurisdiction.
  • Data protection officer: Blue Fox has designated within its organization a person in charge of the protection of personal information (by default, the person with the highest authority at Blue Fox, e.g. its chief executive, unless delegated in writing). The title and contact information of the person in charge of the protection of personal information at Blue Fox are published on our website in accordance with legal obligations. The Client or any person concerned may contact this person for any question relating to confidentiality or to exercise the rights described below. Blue Fox ensures that this person (or their delegate) has the resources necessary to perform their duties and to process requests within the required time limits.

In addition to these terms, Blue Fox has prepared a detailed Privacy Policy, available on its website, which describes how we collect, use, retain and disclose personal information, as well as the rights of individuals in this regard. This Privacy Policy forms an integral part of this Agreement. It is written in clear and simple terms and includes, in particular, the information required by law (e.g. the categories of information collected, the purposes pursued, the technological means of collection used, the retention period, the security measures applied, etc.). Blue Fox undertakes to inform the persons concerned of any substantial change to its privacy policy or to its data practices.

Rights of Persons Concerned and Forms (Law 25)

Under Law 25 and the laws on the protection of personal information, individuals whose data is processed through the Blue Fox services have certain rights. Blue Fox and the Client (if the Client is the party responsible for the data) undertake to facilitate the exercise of these rights. In particular, any person concerned (e.g. an end user of the Client, or the Client itself if it is an individual) has the right to:

  • Be informed of the personal information collected about them, of the purposes of that collection and of their rights. This right to information is ensured in particular through Blue Fox’s transparent Privacy Policy and the communications made at the time of collection.
  • Access their personal information held by Blue Fox or by the Client through our services, and receive a copy of it. Upon reasonable written request, Blue Fox will provide the Client with the information necessary to respond to an access request. Blue Fox makes available a form for requesting access to personal information held by a private enterprise, in accordance with the models recommended by the Commission d’accès Ă  l’information.
  • Have their personal information corrected if it is inaccurate, incomplete or outdated. The Client may itself correct certain data through the tools (e.g. editing files in Nextcloud, updating a record in Odoo, etc.), or submit a request for correction. Blue Fox offers a form for requesting the correction of personal information, also based on the official model.
  • Withdraw their consent or object to certain uses of their information. For example, a person may object to their contact information appearing on a mailing list used for marketing purposes. Blue Fox respects the right to object: every marketing email from us offers an unsubscribe option. In addition, a form for requesting removal from a nominative list is available to anyone who wishes to have their name removed from a mailing list or marketing database managed by Blue Fox or by the Client through our services. Blue Fox will process such requests promptly.
  • Right to data portability: To the extent applicable (for personal information provided by the person themselves or generated by their use of the service, where the information is held in electronic form), the person concerned may request to receive such data in a structured, commonly used technological format, or, where possible, its transfer to another provider. Blue Fox will cooperate with the Client to follow up on such requests, where applicable, in accordance with the obligations of Law 25.
  • Right to erasure (right to be forgotten): Law 25 recognizes that a person may, in certain cases, have personal information concerning them deleted. For example, if the information is no longer necessary for the purposes for which it was collected, or if the person withdraws their consent (and there is no other legal basis for the processing), they may request the erasure of their data. Blue Fox undertakes, either directly or through the Client responsible for the data, to honour valid requests for the deletion of personal data. Certain legal exceptions may apply (e.g. if the law requires certain documents to be retained for a minimum period, or if the data is located in archived backup copies that will be deleted according to the normal cycle).
  • Right to file a complaint: If a person believes that their rights are not being respected, they may submit a complaint to Blue Fox’s person in charge of the protection of personal information, who will follow up as soon as possible. If the response is not satisfactory, the person may seek recourse before the Commission d’accès Ă  l’information du QuĂ©bec or the competent authority.

To facilitate the exercise of these rights, Blue Fox makes the following forms available (in PDF or DOCX format), based on the models of the Commission d’accès à l’information du Québec:

The Client (particularly if it is a business client of Blue Fox) is encouraged to make these forms available to its own users or clients should they wish to exercise their rights. For its part, Blue Fox undertakes to respond to access or correction requests addressed to it within 30 days of receipt of the request, as required by law. Failure to respond within this time limit is deemed to be a refusal, entitling the applicant to apply to the Commission d’accès à l’information. Blue Fox will cooperate fully with the Client and the authorities on any request relating to personal information.

Note: Blue Fox’s Privacy Policy provides further details on the procedures for exercising these rights (contact information for sending requests, possible identity verification, etc.). Blue Fox may assist any person in formulating their request if necessary. No fee will be charged for processing a legitimate request for access or correction, except for minimal fees permitted by law (and, where applicable, such fees will be communicated in advance).

By adhering to these Terms and Conditions, the Client confirms that it understands its own obligations with respect to the protection of personal information and consents to Blue Fox’s practices described above and in the Privacy Policy, including the processing of certain information concerning the Client that is necessary for the provision of the services (e.g. its contact information for account management, etc.).

Limitation of Liability

To the extent permitted by applicable law, Blue Fox’s liability to the Client under this Agreement is governed as follows, in order to protect the organization against excessive claims while reasonably managing risks:

  • No indirect damages: Under no circumstances will Blue Fox be liable for indirect, incidental, special or punitive damages suffered by the Client or third parties as a result of the use of or inability to use the services. This includes, without limitation, any loss of profits, loss of revenue, loss of data, business interruption or damage to reputation. For example, Blue Fox cannot be required to compensate business losses that the Client may suffer as a result of a temporary outage, beyond any credit or compensation that may be provided for in the SLA.
  • Liability cap: The total cumulative amount of damages that Blue Fox could be required to pay to the Client, for all causes combined, is limited to the total amount paid by the Client to Blue Fox for the services during a certain recent period. Specifically, if Blue Fox were held liable by a judicial authority, the compensation owed to the Client could not exceed the total service fees invoiced to the Client during the 12 months preceding the event giving rise to the damage. If the contract has a shorter term or relates to a one-time mandate, the liability cap will be the amount actually paid for that mandate. This limitation reflects the fact that Blue Fox’s rates are set in consideration of this allocation of risk.
  • Specific exclusions: Blue Fox cannot be held liable in the event of fault, negligence, omission or default by the Client itself in the use of the services, nor in the event of acts of a third party beyond Blue Fox’s control. Likewise, Blue Fox disclaims all liability for problems resulting from the Client’s use of software or hardware not provided by Blue Fox. Damages resulting from force majeure or an event beyond Blue Fox’s control (as defined above) are also excluded from any compensation.
  • Client data and content: The Client acknowledges that backing up its data is primarily its own responsibility. Blue Fox cannot be held liable for the loss or alteration of the Client’s hosted files or data, unless the loss is directly caused by a demonstrated fault of Blue Fox in breach of its obligations. In any event, Blue Fox cannot be held liable for deficiencies in the Client’s own security or backup measures. Furthermore, Blue Fox is not responsible for the content of the information transmitted or stored by the Client or for any illegality of such content, this risk being assumed entirely by the Client.
  • Clauses not valid for consumers: The limitations and exclusions of liability set out above apply to the extent permitted by law. If the Client is a consumer (individual) within the meaning of the Quebec Consumer Protection Act, the Client’s attention is drawn to the fact that certain clauses intended to exclude or limit a merchant’s liability toward a consumer may be declared null or unenforceable. In particular, nothing in this Agreement is intended to exclude or limit Blue Fox’s liability for bodily or moral injury caused to the Client, or in the event of gross or intentional fault by Blue Fox, if such exclusion or limitation is prohibited by law (art. 1474 of the Civil Code of QuĂ©bec). Likewise, a consumer’s rights under laws of public order (e.g. the right to remedies in the event of a latent defect, etc.) are not set aside by this Agreement. The limitation of liability provisions are therefore to be interpreted subject to the mandatory legal protection of the consumer, where applicable.

In short, Blue Fox cannot be held liable beyond the amounts paid by the Client and only for direct damages resulting from a proven failure by Blue Fox to perform its contractual obligations. This allocation of risk is an essential condition of offering the services at a reasonable cost. The Client accepts that such a limitation of liability is reasonable and reflects the allocation of risks agreed upon between the parties. If the Client wishes to increase the level of liability assumed by Blue Fox, it may discuss the matter with Blue Fox in order to enter into a specific agreement (often for additional fees, for example through insurance or an enhanced SLA).

Term of the Agreement, Suspension and Termination

Unless otherwise stipulated, this Agreement comes into force upon activation of the subscribed service and is entered into for an indeterminate term with recurring payments (monthly or annual depending on the subscription). Either party may terminate it in accordance with the terms below:

  • Termination by the Client: The Client may terminate the Agreement at any time by notifying Blue Fox (in writing or through the interface provided) of its intention to end the services. Reasonable notice (for example, 30 days) is recommended to allow for a transition and the retrieval of data. In the event of early termination of a fixed-term plan (if applicable), fees or payment until the end of the committed period may apply, in accordance with Blue Fox’s commercial policy. Upon request and if technically possible, Blue Fox will provide the Client with a copy of the hosted data upon termination; the Client is therefore invited to retrieve its data before the effective end date of the service.
  • Termination or suspension by Blue Fox: Blue Fox may temporarily suspend the service or terminate the Agreement as of right, without liability toward the Client, in the event of a material breach by the Client of its obligations (such as illegal use of the services, non-payment of amounts due, harm to the integrity of the platform or to other users, repeated failure to respect limits, etc.). Except in an emergency or in case of immediate danger to the infrastructure, Blue Fox will notify the Client of any alleged breach and may grant it a reasonable period to remedy it. If the Client does not remedy the breach, or if the breach is serious and cannot be remedied, Blue Fox may then terminate the services without further notice. In the event of the Client’s bankruptcy or cessation of business, the Agreement will also be terminated as of right.
  • Effects of termination: On the date of termination, the services will be discontinued. The Client must have retrieved all of its data before that date. Blue Fox will erase the Client’s remaining data from its servers within a reasonable time following the end of the Agreement (unless a legal obligation requires its retention or unless the Client and Blue Fox agree on a transition arrangement). Termination of the Agreement does not affect the provisions which, by their nature, are intended to survive (e.g. confidentiality clauses, limitation of liability, governing law, etc.). If Blue Fox terminates the service because of a breach by the Client, no refund of amounts already paid will be made and the Client remains liable for the amounts due at the time of termination (possibly increased by damages if the Client’s breach caused injury to Blue Fox).
  • Preventive suspension: In the event of a serious threat to the security or integrity of the infrastructure (e.g. an ongoing attack originating from the Client’s hosting, or use of the Client’s service causing major disruptions), Blue Fox reserves the right to immediately suspend all or part of the Client’s services as a preventive measure. Blue Fox will notify the Client as soon as possible of the reasons for the suspension and of the measures to be taken to restore the service. The suspension will be lifted as soon as the problem has been resolved or sufficiently mitigated.

If the Client wishes to reinstate a terminated service, it must enter into a new contract, Blue Fox not being required to restore the former account (unless otherwise agreed).

Governing Law and Dispute Resolution

This Agreement is governed by and interpreted in accordance with the laws in force in the Province of Quebec (Canada), excluding its conflict of laws rules. More specifically, the parties agree that the Quebec Consumer Protection Act may apply if the Client is a consumer, and that the Act to establish a legal framework for information technology, the Act respecting the protection of personal information in the private sector (as amended by Law 25), as well as the Civil Code of Québec govern their respective obligations. The parties undertake to comply with all laws and regulations applicable in the performance of this Agreement, including any other federal or provincial law that may apply by reason of the Client’s place of residence (e.g. anti-spam legislation, or the federal Personal Information Protection and Electronic Documents Act (PIPEDA) for clients outside Quebec, to the extent applicable).

In the event of a disagreement or dispute relating to the interpretation or performance of the Agreement, the parties agree to first attempt to settle the conflict amicably, through Blue Fox’s customer service or management. If no amicable solution is found within a reasonable time, any dispute will be submitted to the exclusive jurisdiction of the courts of the judicial district of Montréal, Quebec, unless a mandatory law grants the Client (in particular if it is a consumer) the right to institute proceedings before another competent court.

Choice of forum clause: If the Client uses the services for commercial purposes (non-consumer), it agrees that any legal action be brought before the provincial courts sitting in the Province of Quebec, and it waives any objection based on the inconvenience of the forum (forum non conveniens).

The language of the Agreement is French. A translation into another language may be provided for convenience, but in the event of any discrepancy, the French text prevails.

Final Provisions

Entire agreement: This Agreement, including the Privacy Policy and any specific agreement or condition agreed upon in writing with the Client (e.g. a quote or a specific service level agreement), constitutes the entire agreement between the parties. It cancels and replaces any prior communication or proposal, written or oral, relating to its subject matter.

Amendments: Blue Fox may amend these Terms and Conditions from time to time, in particular to comply with legislative or regulatory changes or to adjust its policies. In the event of a substantial amendment, Blue Fox will notify the Client with advance notice (e.g. by email or notification on the website). If the Client does not accept the new terms, it will have the option of terminating the Agreement without penalty before the amendments come into effect. Continued use of the services after the effective date of the amendments will constitute acceptance of them.

Assignment: The Client may not assign or transfer its rights and obligations under this Agreement without the prior written consent of Blue Fox. Blue Fox may assign the Agreement to any affiliated entity or in the context of a merger/acquisition, subject to notifying the Client. The Agreement will bind the successors and authorized assigns of the parties.

Partial invalidity: If any provision of this Agreement is held to be invalid, illegal or unenforceable by a competent court, it will be applied to the maximum extent permitted, and the other provisions of the Agreement will remain in force. Failure by Blue Fox to require strict performance of a clause or delay in exercising a right does not constitute a waiver of that right or clause.

Relationship of the parties: The parties agree that Blue Fox is an independent contractor and that nothing in this Agreement creates a partnership, joint venture, mandate or agency relationship between Blue Fox and the Client. The Client may not hold itself out as having the power to bind Blue Fox toward third parties.

Contact: For any question relating to these Terms and Conditions or to the Blue Fox services, or to send an official notice (for example, a termination or a legal request), the Client may contact Blue Fox at the following contact information:
